2. Description of Services
PeopleUp provides premium executive search, leadership advisory, and talent acquisition services. Our services include but are not limited to:
- Executive Search and Headhunting
- Leadership Advisory and Consulting
- Board Services and Director Placement
- Talent Mapping and Market Intelligence
- Candidate Representation and Career Services
We operate primarily across Canada, Austria, Germany, and Switzerland, serving clients in various industries including technology, financial services, pharmaceuticals, and manufacturing.
3. Terms for Client Companies
3.1 Engagement and Fees
All executive search engagements are conducted on a retained basis. Specific terms, fees, and payment schedules will be outlined in a separate engagement letter or service agreement signed by both parties prior to commencement of work.
3.2 Candidate Information
All candidate information provided by PeopleUp is confidential and proprietary. Clients agree not to share candidate information with third parties or use it for purposes other than evaluating the candidate for the specific position.
3.3 Off-Limits Policy
PeopleUp maintains off-limits policies to protect our clients' existing employees. Terms of off-limits periods will be specified in individual engagement agreements.
4. Terms for Candidates
4.1 No Fee Policy
PeopleUp never charges candidates for our services. All fees are paid by hiring companies. If anyone claiming to represent PeopleUp asks you for payment, please report this immediately.
4.2 Accuracy of Information
Candidates agree to provide accurate, current, and complete information about their professional history, qualifications, and references. Misrepresentation may result in removal from our network and notification to affected parties.
4.3 Confidentiality
Candidates agree to maintain confidentiality regarding any proprietary information about client companies, including details about positions, compensation packages, and organizational structures shared during the recruitment process.
5. Intellectual Property
All content on this website, including text, graphics, logos, images, and software, is the property of PeopleUp or its content suppliers and is protected by United States and international copyright laws.
Our methodologies, processes, candidate databases, and market intelligence are proprietary. Clients and candidates agree not to replicate, reverse engineer, or attempt to recreate our systems or processes.
6. Website Use
You agree not to:
- Use the website in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to our systems or networks
- Use automated systems to access the website without permission
- Transmit any viruses, malware, or harmful code
- Collect or harvest personal information of other users
- Use the website for any fraudulent or unlawful purpose
7. Limitation of Liability
To the fullest extent permitted by applicable law, PeopleUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or business opportunities
- Damages arising from hiring decisions
- Actions or omissions of placed candidates
- Website downtime or technical issues
Our total liability for any claim arising from our services shall not exceed the fees paid to us for the specific engagement giving rise to the claim.
8. Warranties and Guarantees
While we strive to provide exceptional service, we cannot guarantee specific outcomes. Our replacement guarantee and other service warranties are outlined in individual client engagement agreements.
This website and our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
9. Indemnification
You agree to indemnify, defend, and hold harmless PeopleUp, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of our website or services, your violation of these terms, or your violation of any rights of another party.
10. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming.
11. Dispute Resolution
Before initiating any legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, with arbitration to be conducted in Sheridan, Wyoming.
12. Termination
We reserve the right to terminate or suspend access to our services immediately, without prior notice, for any conduct that we believe violates these Terms and Conditions or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
13. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
14. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on the website.
